I chose D, too. I saw 'conflict of interest' as someone who has an interest in something which could affect the running of the business (or something like that; I'm not good at explaining. xD) And the question didn't mention anything about, say, a senior member of staff, advising a competitor being an/the issue. Just issues, which could be anything. *shrugs*

Well, the union rep had raised issues --- indicating a conflict of interest between what management think is right, and what employees and the union think is right. Sure, management would need to make decisions, but at the same time they would need to resolve the conflict of interest between two parties, because otherwise this could easily escalate into industrial conflict.
